🔒 Non-Disclosure & Confidentiality Agreement

1. Introduction

This Non-Disclosure and Confidentiality Policy ("Agreement") is established to protect sensitive information shared between GerardKing.Dev ("Disclosing Party") and any individual, brand, or entity engaging in a professional relationship ("Receiving Party").

By engaging services or receiving access to private works, you agree to the terms below.

2. Confidential Information

Confidential Information includes but is not limited to:

• Original music mixes, stems, audio, compositions, FX chains, DAW project files
  
  

• Brand or campaign strategy shared during consultation
  
  

• Unreleased materials, creative direction, or internal documentation
  
  

• Any information marked as confidential or that a reasonable party would understand to be private in nature
  
  

3. Exclusions

Confidentiality does not apply to:

• Information already in the public domain through no fault of the Receiving Party
  
  

• Knowledge independently developed by the Receiving Party without reference to the Disclosing Party
  
  

• Information lawfully disclosed by a third party with no confidentiality obligation
  
  

4. Obligations of the Receiving Party

The Receiving Party agrees to:

• Maintain the confidentiality of all shared materials
  
  

• Not use the Confidential Information for any purpose other than the intended collaboration
  
  

• Not reproduce, distribute, or disclose confidential materials to third parties without written consent
  
  

• Take reasonable precautions to protect confidentiality (passwords, private channels, secure storage, etc.)
  
  

5. Ownership of Intellectual Property

All intellectual property (IP) produced or shared by GerardKing.Dev remains the sole property of the creator unless otherwise licensed in writing.

Client-specific licensing terms (e.g. exclusive sync rights, buyouts, or white-label authorship) must be agreed upon via signed contract or licensing agreement.

6. Duration

This Agreement remains in effect indefinitely, unless explicitly terminated in writing by both parties. Obligations of confidentiality survive the end of the engagement.

7. Breach of Agreement

Violation of this Agreement may result in:

• Immediate termination of services
  
  

• Legal action, including injunctions and claims for damages
  
  

• Revocation of access to works, files, or licenses
  
  

All parties acknowledge the potential harm caused by misuse of creative assets or trade secrets.

8. Optional Mutual NDA

If mutual protection is required (e.g. if the client shares confidential materials), a mutual NDA can be signed by both parties using a standard template provided by GerardKing.Dev.

9. Jurisdiction

This Agreement shall be governed by applicable intellectual property and contract laws within the client’s or creator’s legal jurisdiction, with enforcement internationally if necessary.
